DEPOSIT, FINAL PAYMENTS & DELIVERY
Deposit: A 50% deposit may be required before work commences on your project. If a deposit is requested, an invoice will be sent via email, and payment is expected within 30 days of issuance. By paying the deposit, you agree to these Terms of Service and enter into a contract with Grey Designs (Grey Yu).
Final Payment: The remaining balance for the project and any associated services will be invoiced before the release of logo files or final exports. Grey Designs reserves the right to withhold delivery of these files until full payment is received.
Retainer Fees: For projects billed on a retainer basis, full payment of the monthly retainer fee is due at the beginning of each month. Work will not commence, or continue, until the retainer has been paid in full. Retainer fees secure Grey Designs’ availability for the duration of the agreed-upon period and are non-refundable.
Unresponsiveness: In cases where you have been uncontactable or unresponsive for more than 30 days, Grey Designs reserves the right to invoice for the remaining balance before the agreed-upon timeline.
Payment Plans: You may request a payment plan, which will be considered at the discretion of Grey Designs. Any agreed-upon payment plan must be documented in writing by both parties.
Payment Due: All payments are due within 30 days of invoice issuance.
Collection Fees: Grey Designs reserves the right to charge for any fees incurred in the collection and recovery process for accounts that remain unpaid beyond 30 days.

LICENSING OF ANY USED FONTS OR TYPEFACES
Commercial Licensing: Any fonts or typefaces purchased for the final logo or supporting brand identity assets are subject to commercial licensing laws. A font/typeface license grants the owner full rights to use the font/typeface as necessary.
Client Responsibility: In the initial presentation of design concepts, I will provide details on the typefaces used and information on where they can be acquired. It is the client's responsibility to purchase any necessary font licenses (whether paid or unpaid). Please consider this when approving designs.
Legal Compliance: It is illegal for me to provide any client with a copy of any font/typeface that I personally own and have purchased.
Client Licensing: If you wish to use a font/typeface that I have purchased for commercial purposes, you must purchase the respective license and register it in your name.

RESTRICTIONS TO THIS AGREEMENT
Ownership of Unused Concepts: All original preparation materials, sketches, visuals, and unused ideas presented remain the property of Grey Yu (Grey Designs). You do not have the rights to use, modify, alter, replicate, or borrow any of these previous concepts, sketches, or ideas.
Reuse of Unused Concepts: Grey Yu (Grey Designs) retains the freedom to use any unused concepts or ideas for future conceptual work and client projects. If a previously unused idea/design resembles the final logo, it will be sufficiently repurposed and styled to avoid any conflicts.
Portfolio and Public Display: Unless otherwise agreed, Grey Yu (Grey Designs) reserves the right to showcase the finished logo and associated designs in portfolios, online galleries, showcases, awards, and printed materials such as books and magazines, both now and in the future. This includes designs related to commercial print, business cards, stationery, signage, desktop icons, mobile application icons, and other imagery.
Supporting Artwork: Any supporting artwork and designs created for this project may be used by Grey Yu (Grey Designs) for personal and professional purposes You are free to change, modify, and adapt the finished logo design as you see fit; however, any modifications are done at your own risk.

LICENSING OF ANY USED FONTS OR TYPEFACES
Property of Grey Yu (Grey Designs): All preparation materials, sketches, visuals, and electronic files used to create the project remain the property of Grey Yu (Grey Designs). The final artwork and digital files will transfer ownership to you only upon full payment of the project.
Non-Payment: If the final payment is not received as agreed, all designs and concepts will remain the property of Grey Yu (Grey Designs) until payment is completed. In such cases, Grey Yu (Grey Designs) reserves the right to reuse or amend any of these ideas for other clients or to use them as concepts in the portfolio.
Unauthorized Use: Should the client attempt to use, modify, alter, replicate, or steal any of the ideas without making the agreed final payment, Grey Yu (Grey Designs) will take immediate legal action.
Portfolio Rights: Grey Yu (Grey Designs) reserves the right to showcase any artwork, ideas, or sketches created for this project in a portfolio as examples of client work. This is typically done upon project completion. If there are specific non-disclosure agreement (NDA) requirements, please inform us before agreeing to the proposal.
Final Payment and Ownership: Final payment ensures that only the agreed-upon logo design becomes your property. All previous ideas and concepts remain the property of Grey Yu (Grey Designs) unless otherwise agreed in writing.

Due to the lengthy and often costly procedures involved in trademark, copyright, and legal name searches, Grey Yu (Grey Designs) is unable to provide practical assistance with these processes. If you wish to register the logo as a trademark or require other legal protections, it is your responsibility to seek your own legal advice and assistance.

You are fully responsible for ensuring that your company, product, or name is legally available before the commencement of the project. Grey Yu (Grey Designs) will not provide refunds or assume legal responsibility for any issues that arise due to the naming after the project is completed.
Please ensure that the name you intend to use is legally safe and free to use before committing to a logo project. Changing the project name during the project can be exceptionally costly, challenging to implement, and can cause significant delays.
If a change of name is required mid-project, and significant logo exploration work has already started, I will need to recalculate the total project cost to account for the additional reworking involved. Therefore, it is crucial to conduct appropriate checks to ensure the name is not already in use, does not infringe on any registered trademark or business name, and is legally clear for use.

You agree and acknowledge that Grey Yu operating as Grey Designs (“Grey Yu”, “we”, “us”) shall not be held legally responsible for any loss, damage, or expense suffered or incurred in connection with the use of our services. This includes, but is not limited to, any amendments, errors, omissions, inaccuracies, or printing errors in any documents, designs, information, or materials supplied, as well as any goods or services provided.
Grey Yu is not liable for any loss or damage arising from your use of, or reliance on, any third-party content, links, comments, advertisements, or external resources.
Any use of, or reliance on, information or materials produced, amended, or designed by Grey Yu is undertaken entirely at your own risk. To the fullest extent permitted by law, Grey Yu excludes all liability for any loss or damage arising from such reliance. You acknowledge that all materials may contain inaccuracies or errors, and you expressly accept this risk.
Originality & Intellectual Property Disclaimer
Grey Yu affirms that all designs provided will be original works and, to the best of our knowledge, will not intentionally infringe upon the rights of any third party. While we undertake limited checks to reduce the risk of unintentional infringement—including limited searches of publicly available databases such as WIPO and reverse image searches—Grey Yu does not guarantee that the work is free from all potential intellectual property claims.
Grey Yu assumes no legal responsibility or liability for any loss, damage, or legal claims arising in connection with the originality, authenticity, or alleged infringement of the delivered work. You agree to conduct your own independent checks and due diligence regarding plagiarism, trademark conflicts, and originality prior to and following use of the work.
If you have any concerns regarding originality or intellectual property rights, you must raise these concerns before commencement of the project.

CANCELLATION DURING THE PROJECT
Client-Initiated Cancellation: If you decide to cancel the project after the submission of ideas and proposals, refunds for prior payments are generally not possible. However, a partial refund may be considered based on the scope of work completed and the total budget.
Designer-Initiated Cancellation: If I, the designer, am unable to complete the project due to illness or unforeseen circumstances, a proportional refund of the overall budget will be provided. In most cases, a full refund will be offered. If any work completed can be transferred to another designer, a percentage of the payment will be refunded based on the usability of the delivered assets. Other reasonable resolutions can also be considered.
PROJECT SUSPENSION
I reserve the right to suspend any project if there is interference with excessive micromanaging, demonstrating a continued lack of trust and inability to move forward after showing more than a reasonable number of unique logo ideas/concepts, and/or showing a reluctance in paying the final payment.
Fair notice will be given with fair chance to remedy the situation without resorting to project suspension or termination. Any suspension, or termination, will not result in any refunds and all designs and work thus developed remain the full ownership of Grey Yu of Grey Designs.
In the event of project suspension or termination, no refunds will be issued. All designs and related materials developed up to that point remain the full ownership of Grey Yu of Grey Designs.
